Marketplace Terms & Conditions of Sale
1. General
1.1 Welcome to AdriaMart (the “Platform”).
1.2 The Platform operates as an online marketplace facilitating transactions between Buyers and Sellers.
1.3 By accessing, registering on, placing orders through, or otherwise using the Platform, you confirm that you have read, understood, and agreed to be legally bound by these Terms & Conditions (the “Terms”).
1.4 If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform.
2. Definitions
2.1 Platform Operator
Zhiyong Wang pr Trgovinska radnja ADRIA MART Beograd, acting as the operator of the AdriaMart online marketplace.
2.2 Platform
An online marketplace providing technical infrastructure, product listings, and transaction facilitation services, enabling Buyers and Sellers to conclude sales contracts.
2.3 Unless explicitly stated otherwise, the Platform Operator does not act as the Seller of the Products.
2.4 Seller / Merchant
A legal or natural person offering Products for sale through the Platform, including the Platform Operator itself (Platform Direct Sale) or an independent third-party merchant.
2.5 Buyer
A User who places an order for Products offered by a Seller through the Platform.
2.6 User
Any natural person who accesses, browses, registers on, or uses the Platform.
2.7 Products
Goods displayed and offered for sale by Sellers through the Platform.

4. Role of the Platform
4.1 The Platform acts solely as an intermediary and technical service provider.
4.2 The Platform facilitates transactions between Buyers and Sellers but is not a party to the sales contract unless explicitly stated otherwise.
4.3 For each Product listing, the identity of the Seller shall be clearly displayed on the product page.
4.4 Unless explicitly marked as “Platform Direct Sale”, the Platform Operator is not the Seller of the Products.
4.5 The sales contract for Products is concluded directly between the Buyer and the respective Seller.
4.6 The Seller is solely responsible for the accuracy and completeness of product descriptions, product quality and conformity, issuance of invoices and fiscal documents, warranty obligations, after-sales service, and compliance with applicable consumer protection, tax, and product safety laws.
4.7 The Platform Operator shall not be liable for the Seller’s performance of contractual obligations, except to the extent required by mandatory law.
4.8 Unless explicitly stated otherwise, the Platform Operator does not collect payments on behalf of third-party Sellers.
5. Orders and Contract Formation
5.1 An order placed by the Buyer constitutes an offer to purchase Products from the Seller.
5.2 A sales contract is concluded only after the Seller confirms the order, either directly or through the Platform’s order confirmation system.
5.3 The Platform reserves the right to reject, suspend, or cancel orders in justified cases, including technical errors, incorrect pricing, suspected abuse, or force majeure events.
6. Prices and Payment
6.1 All prices displayed on the Platform are expressed in Serbian dinars (RSD).
6.2 Prices include applicable taxes in accordance with the respective Seller’s tax status under Serbian law.
6.3 Unless otherwise stated, payment is made via Cash on Delivery (COD).
6.4 The Buyer is required to pay the full order amount upon delivery of the Products.
6.5 A legally compliant invoice shall be issued by the respective Seller in accordance with applicable law.
7. Shipping and Delivery
7.1 Shipping and delivery are performed by the Seller or by logistics partners engaged by the Seller.
7.2 Estimated delivery times are indicative only and may vary depending on product availability, logistics conditions, courier services, and the Buyer’s delivery location.
7.3 For pre-order Products, the estimated delivery timeframe shall be clearly indicated.
7.4 The Platform Operator does not guarantee delivery times but facilitates communication between Buyers and Sellers where necessary.
8. Refusal of Delivery / Unclaimed Shipments
8.1 An order shall be deemed unsuccessful if the Buyer cannot be contacted, refuses delivery, or fails to collect the shipment within the specified timeframe.
8.2 In such cases, the Products may be returned to the Seller.
8.3 Delivery and return costs arising from refusal or failure to collect a shipment may be charged to the Buyer by the Seller, provided that such potential costs were clearly communicated to the Buyer during the ordering process.
8.4 Refusal of delivery alone does not automatically constitute a valid exercise of the statutory right of withdrawal.
9. Right of Withdrawal (14 Days)
9.1 In accordance with the Serbian Law on Consumer Protection, the Buyer has the right to withdraw from the sales contract within fourteen (14) days from the date of receipt of the Products, without stating any reason.
9.2 The right of withdrawal is exercised against the Seller, not the Platform Operator.
9.3 Returned Products must be unused, undamaged, in their original packaging, and accompanied by the original invoice.
9.4 Return shipping costs in cases of withdrawal without cause shall be borne by the Buyer, unless otherwise required by mandatory law.
9.5 The right of withdrawal does not apply to Products exempted under applicable law, including customized or personalized goods, sealed goods not suitable for return due to health or hygiene reasons once unsealed, and perishable goods.
10. Defective or Non-Conforming Products
10.1 If Products are defective, damaged, or not in conformity with the contract, the Buyer shall exercise statutory rights directly against the Seller.
10.2 The Buyer shall provide the order number, relevant evidence, and a brief description of the issue.
10.3 Statutory conformity rights apply for up to two (2) years in accordance with Serbian law.
11. User Obligations
11.1 Users must provide accurate, complete, and up-to-date personal and delivery information.
11.2 Users are responsible for any consequences arising from incorrect or incomplete information.
11.3 Fraudulent orders, abuse of consumer rights, refusal of delivery without legitimate grounds, or unlawful activities are strictly prohibited.
12. Intellectual Property
12.1 All content on the Platform, including texts, images, trademarks, logos, and layout, is protected by applicable intellectual property laws.
12.2 No content may be copied, reproduced, or used without prior written consent of the rights holder.
13. Personal Data Protection
13.1 The Platform Operator processes personal data in accordance with the GDPR, the Serbian Law on Personal Data Protection, and other applicable regulations.
13.2 Personal data is processed solely for transaction facilitation, customer support, legal compliance, and other lawful purposes.
14. Governing Law and Dispute Resolution
14.1 These Terms are governed by the laws of the Republic of Serbia.
14.2 Any disputes shall first be resolved amicably.
14.3 If no amicable resolution is reached, the competent courts in Belgrade, Serbia shall have jurisdiction, without prejudice to mandatory consumer protection laws.
15. Language Versions
15.1 In the event of discrepancies between language versions, the English version shall prevail.
15.2 Mandatory consumer protection laws remain unaffected.
16. Amendments
16.1 The Platform Operator reserves the right to amend these Terms in accordance with applicable law.
16.2 Amended Terms shall enter into force upon publication on the Platform.
Final Statement
These Terms & Conditions constitute a legally binding agreement governing the use of the AdriaMart marketplace platform.
